Momentum Retained Sales and Marketing Services Agreement

1. Term of Service

  • 1.1. By entering into a retained sales and marketing services agreement with Momentum, you agree to a minimum term of 6 months from the effective date of the agreement.

  • 1.2. Momentum works on an hourly term basis with a minimum commitment of 10 hours per calendar month.

  • 1.3. Either party may terminate the agreement by providing a 3-month notice period in writing.

  • 1.4 Client Communication & Unused Hours

    • Momentum operates on a retained-hours model, allocating a set number of hours to each client each month.

      • It is the client’s responsibility to provide timely communication, feedback, and approvals to enable the agreed-upon services to be delivered.

      • If a client fails to engage or communicate in a given month, those allocated hours for that month will be considered delivered and billable, even if unused.

      • Unused hours cannot be rolled over or refunded.

      • Prolonged lack of communication does not constitute notice of termination. The standard three-month written notice period remains enforceable unless formally withdrawn in writing.

2. Services Provided

  • 2.1. The services to be provided under the retained sales and marketing agreement will be agreed upon by both parties and can be found on the website www.gainmomentum.co.uk.

3. Fees and Payment

  • 3.1. The agreed rate of the retained services is determined at the time of entering into this agreement and will be outlined in the agreement.

  • 3.2. The fees are payable monthly in advance based on the hourly rate and minimum commitment.

  • 3.3. Any additional services requested by the client may incur extra charges as agreed upon by both parties.

  • 3.4. Invoices are due within 7 days of issue unless otherwise agreed in writing. Late payments may incur statutory interest (8% above Bank of England base rate) and reasonable debt recovery costs in line with the Late Payment of Commercial Debts Act 1998.

  • 3.5. Momentum reserves the right to suspend services without liability if invoices remain unpaid after the due date. Services will recommence once all overdue balances are cleared.

4. Termination of Agreement

  • 4.1. Either party may terminate the agreement with a 3-month notice period in writing. Notice must be provided by email to hello@gainmomentum.co.uk and acknowledged in writing by Momentum.

  • 4.2. In the event of early termination by the client, any outstanding fees for the remainder of the minimum term and notice period will be due and payable.

  • 4.3. Lack of communication or failure to provide instructions does not constitute notice of termination.

5. Confidentiality

  • 5.1. Both parties agree to maintain the confidentiality of all information exchanged during the term of service.

  • 5.2. Confidential information includes but is not limited to business strategies, customer data, and marketing plans.

6. Governing Law

  • 6.1. This agreement is governed by the laws of the United Kingdom, and any disputes will be resolved in the courts of the United Kingdom.

By entering into this retained sales and marketing services agreement with Momentum, you acknowledge and agree to the terms outlined above, including the hourly working term with a minimum commitment of 10 hours per calendar month.
